both meet all four of your requirements. however, the only thing you should be interested in is support.
ubuntu supports their server editions (LTS) for up to five years. fedora has no such support mechanism.

if you install an LTS (long term support) version of ubuntu, you can continue using the same installation for five years (or three years, if you install a desktop LTS release). that means you won't need to upgrade to a newer revision to get security and bug fixes -- canonical will provide the updates, for free, for up to five years.
