Any one tell me how to migrate exchange server 5.5 to Sendmail Server and also moving the email from exchange server to sendmail server.

Hey There,
dude dont replace exchange 5.5 with sendmail , rather use qmail or post fix , they will solve your problems almost all of them , search google for qmail+antivirus+spam protection and you'll find tons of howto to setup a complete mailing solution with opensource stuff.

Regarding the migration part, I use offlineimap for converting exchange mailboxes to Maildir format. I remember there being an automated tool for doing the same thing, but I can't remember the name.
You won't be able to do server hosted contacts and calendars, etc with straight Postfix, though. You'd have to use a groupware server like OpenGroupware, Kontact or Hula (I'm forgetting the other names).
Oh, and I'd recommend against Sendmail unless you enjoy pain
